Developer Agreement

1. Overview
This Developer Agreement ("Agreement") is a legal contract between you ("Developer," "you") and NullBot Themes ("NullBot," "we," "us") governing your participation as a third-party developer on the NullBot Themes marketplace at nullbotthemes.com ("Marketplace").
By creating a developer account and submitting themes for sale, you agree to be bound by this Agreement. If you do not agree to these terms, do not register as a developer.
2. Eligibility
To register as a developer, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Provide accurate and complete registration information
- Maintain the security of your account credentials
3. Theme Submissions
All themes submitted to the Marketplace are subject to review by NullBot before publication. By submitting a theme, you represent and warrant that:
- You are the sole creator of the theme, or have all necessary rights and licenses to distribute it
- The theme does not infringe any third-party intellectual property rights, including copyrights, trademarks, or patents
- The theme does not contain malicious code, backdoors, or any functionality intended to harm users
- The theme meets the quality and documentation standards published by NullBot
- All screenshots and descriptions accurately represent the theme's functionality
NullBot reserves the right to approve, reject, or request changes to any submission at our sole discretion. Submissions may go through up to 3 rounds of review. We aim to complete reviews within 5-15 business days but do not guarantee a specific timeline.
4. Revenue Split & Pricing
For each sale of your theme on the Marketplace:
- Developer receives 70% of the sale price
- NullBot retains 30% as a platform commission, which covers hosting, payment processing fees, marketing, and review labor
You set the sale price for your themes. Prices must be in USD and fall between $10.00 and $500.00. NullBot reserves the right to suggest pricing adjustments but will not change your price without your consent.
5. Payouts
Payouts are processed on a monthly basis, subject to the following conditions:
- Minimum payout threshold: $50.00
- Payouts are made via PayPal or Stripe, based on your payout settings
- You are responsible for providing accurate payout information
- Unpaid balances below the threshold carry over to the next month
- Refunds issued to customers will be deducted from your earnings
You are solely responsible for any tax obligations arising from your earnings. NullBot does not withhold taxes and may request tax documentation (e.g., W-9, W-8BEN) as required by law.
6. Intellectual Property
You retain full ownership of all intellectual property rights in your themes. By listing a theme on the Marketplace, you grant NullBot a non-exclusive, worldwide, royalty-free license to:
- Display, market, and promote your theme on the Marketplace and related channels
- Use your theme's name, screenshots, and descriptions for marketing purposes
- Distribute your theme to customers who have purchased it
This license terminates when your theme is removed from the Marketplace, except that customers who have already purchased the theme retain their download rights.
7. Content Standards
Themes listed on the Marketplace must not:
- Contain stolen, plagiarized, or unlicensed code, images, or content
- Include obfuscated or minified code that cannot be reviewed (except third-party libraries)
- Contain tracking scripts, analytics, or external calls not disclosed in the documentation
- Promote illegal activity, hate speech, or discriminatory content
- Include affiliate links, advertising, or promotional content for other services
8. Support & Updates
Developers are expected to provide reasonable support for their themes, including responding to customer questions and fixing bugs. While NullBot handles payment processing and first-line support, theme-specific issues will be directed to you.
You are encouraged to release updates to address bugs, security issues, and compatibility with platform updates. NullBot reserves the right to temporarily unpublish a theme that has unresolved critical issues.
9. DMCA & Copyright Claims
NullBot respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If we receive a valid DMCA takedown notice regarding your theme, we will:
- Promptly remove or disable access to the allegedly infringing theme
- Notify you of the claim
- Provide you with the opportunity to submit a counter-notification
Repeated copyright violations may result in permanent account termination.
10. Termination
Either party may terminate this Agreement at any time:
- By you: Remove your themes and close your developer account. Outstanding earnings will be paid in the next payout cycle.
- By NullBot: We may suspend or terminate your account for violations of this Agreement, fraudulent activity, or conduct that harms the Marketplace or its users. We will make reasonable efforts to notify you in advance, except in cases requiring immediate action.
Upon termination, customers who have already purchased your themes retain their download rights for the remainder of their download window.
11. Limitation of Liability
To the maximum extent permitted by law, NullBot shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this Agreement. NullBot's total liability shall not exceed the total commissions earned by NullBot from your theme sales in the 12 months preceding the claim.
12. Modifications
NullBot may update this Agreement from time to time. We will notify you via email of any material changes at least 30 days before they take effect. Your continued use of the Marketplace after the changes take effect constitutes acceptance of the updated Agreement.
